Terms of Use

These terms are an agreement between you and Gray Matter Group LLC, a Michigan limited liability company ("we", "us"), which operates MicroCoach at microcoach.app. By creating an account or subscribing, you agree to them. If you don't agree, please don't use MicroCoach.

1. What MicroCoach is

MicroCoach is accountability software. You choose one goal, your One Big Thing, and describe it on a Commitment Card. Each week you file a short check-in (Progress, Plans, Problems), and you get written feedback on it.

MicroCoach is a coaching tool. It is not therapy, counselling, or medical, psychological, legal, financial, tax or investment advice, and it does not replace a qualified professional. We don't promise any particular result. What you do with your goal, and with any feedback, is your decision and your responsibility.

2. Who can use it

You must be at least 18 and able to enter a binding contract. You may use MicroCoach for yourself, including for your own business or work. One account is for one person.

3. Your account

You sign in with a link we email to you; there is no password. Anyone who can read your email can sign in to your account, so keep your email account secure, and tell us at support@microcoach.app if you think someone else has signed in. You're responsible for what happens under your account. Please give us a real email address and a name we can call you by.

5. AI-generated feedback

The feedback on your Commitment Card and weekly check-ins is written by an AI model (currently Anthropic's Claude), guided by instructions we write. To produce it, we send your name, your Commitment Card and your check-ins to our AI provider. AI feedback can be wrong, incomplete or a poor fit for your situation. Treat it as a suggestion to consider, not as advice or instruction. You decide what to do. The feedback never changes your own words and never decides whether your Commitment Card is accepted; you do.

6. Your content

What you write in MicroCoach is yours. You give us permission to store it, process it and send it to the service providers named in our Privacy Policy, only to run MicroCoach for you: for example, to generate your feedback, show you your history and keep the service secure. We don't publish your content, we don't sell it, and we don't use it to train AI models.

Don't put anything into MicroCoach that you don't have the right to share, and don't enter other people's sensitive personal information.

8. Our intellectual property

MicroCoach's software, design, name, the Commitment Card and its questions, and our written materials belong to us or our licensors. These terms give you a personal, non-transferable right to use MicroCoach while your account is in good standing, and nothing more.

9. Ending your use

You can stop at any time: cancel your plan (section 4), and email support@microcoach.app if you also want your account and data deleted (see our Privacy Policy).

We may suspend or close an account that breaks these terms or puts other members or the service at risk. Where it's reasonable, we'll tell you first. If we close your account for reasons other than your breach, we'll refund the unused part of any period you've paid for. If we ever shut MicroCoach down, we'll give you at least 30 days' notice by email and stop charging you.

10. Disclaimers

MicroCoach is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that MicroCoach will be uninterrupted or error-free, or that any feedback will be accurate or useful.

11. Limitation of liability

To the extent the law allows: we won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim relating to MicroCoach is limited to the greater of the amount you paid us in the 12 months before the claim, or $100. Some places don't allow these limits, so they may not all apply to you.

12. Indemnity

If you use MicroCoach in breach of these terms or the law, and that leads to a claim against us, you agree to cover our reasonable losses and costs from that claim.

13. Governing law

These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Oakland County, Michigan, and you and we consent to their jurisdiction.

14. Changes to these terms

We may update these terms. If a change is significant, we'll tell you by email or in the app before it takes effect. Continuing to use MicroCoach after that means you accept the new terms. If you don't, cancel your plan.

15. Everything else

These terms and our Privacy Policy are the whole agreement between you and us about MicroCoach. If part of them can't be enforced, the rest still applies. Not enforcing a term right away isn't a waiver of it. You may not transfer these terms; we may transfer them as part of a sale or reorganisation of our business.
